Terms of Service

1. Acceptance of Terms
By accessing or using the Provision platform (“Service”), operated by Provision (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the updated Terms.
2. Account Terms
You must be at least 18 years old to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account and keep it up to date. You must notify us immediately of any unauthorized use of your account.
3. Description of Service
Provision is an AI agent deployment platform that allows you to create and manage AI-powered team members. These agents can operate with their own email addresses, browse the web, connect to messaging platforms (such as Slack, Telegram, and Discord), and execute scheduled tasks on your behalf. The Service includes infrastructure provisioning, agent configuration, and management tools.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, phishing messages, or other unsolicited communications through AI agents
- Impersonate individuals or organizations in a misleading or deceptive manner
- Generate, distribute, or facilitate harmful, abusive, or illegal content
- Attempt to circumvent security measures, rate limits, or usage restrictions
- Interfere with or disrupt the Service or its infrastructure
- Use the Service for competitive intelligence gathering against Provision
- Resell or redistribute the Service without our prior written consent
We reserve the right to suspend or terminate your account if we determine that your use violates these Terms or poses a risk to the Service, other users, or third parties.
5. Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Provision and protected by intellectual property laws. You retain ownership of any content, data, or configurations you create using the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing and improving the Service. We do not claim ownership over outputs generated by your AI agents.
6. Payment Terms
The Service is offered on a subscription basis. Pricing, features, and plan details are available on our website. All fees are billed in advance on a monthly basis and are non-refundable except as required by law. You authorize us to charge your payment method for recurring subscription fees. We may change our pricing with at least 30 days' notice. If your payment fails, we may suspend your account until payment is resolved. Usage-based charges, if applicable, are billed in arrears.
7. Termination
You may cancel your subscription and close your account at any time through your account settings. Upon cancellation, your access to the Service will continue until the end of your current billing period. We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, we will make reasonable efforts to allow you to export your data for a period of 30 days, after which your data may be permanently deleted.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI agents may produce inaccurate or unexpected outputs, and you are responsible for reviewing and validating agent actions and outputs.
9. Limitation of Liability
To the maximum extent permitted by law, Provision shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total cumulative liability for all claims related to the Service shall not exceed the amounts you paid to us in the 12 months preceding the claim. This limitation applies regardless of the theory of liability.
10. Indemnification
You agree to indemnify and hold harmless Provision, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or actions taken by your AI agents.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts.
12. Dispute Resolution
Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@provision.ai. If a dispute is not resolved within 30 days, either party may pursue binding arbitration administered under the rules of the American Arbitration Association in California. You agree that any arbitration will be conducted on an individual basis and not as a class action.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. For significant changes, we may also notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
